MARRERO, La., May 24 /PRNewswire/ -- Planet Beach Franchising Corporation today announced that it has filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission (SEC) relating to the proposed initial public offering of 3,750,000 units comprised of one share of common stock and a redeemable warrant to purchase one additional share of common stock.
C. K. Cooper & Company, Inc. is the lead managing underwriter for the offering. The estimated initial public offering price of the units is between $4.00 and $4.30 per unit. In connection with the proposed offering, the company intends to grant the underwriters a 30-day option to purchase up to an additional 562,500 units to cover over-allotments, if any.
The registration statement relating to the units has been filed with the SEC, but has not yet become effective. The units may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
