VentriPoint's Audit committee will be chaired by Henseler and comprised ofKatz and Dalla-Longa. The Compensation, Nominating and Corporate GovernanceCommittee will be chaired by Dalla-Longa and comprised of Katz, Smith andHenseler. Ashley will serve as chairman of the board. Each director hasexperience in biotechnology and/or with start-up companies, and will holdoffice until the next annual meeting of shareholders. "Our board members have developed and launched 18 medical diagnosticproducts between them and have relationships at nearly all of our targetedcustomer sites," said Edward Garth, VentriPoint CFO. Ashley, chairman of the board, is president and CEO of VentriPointDiagnostics. He has successfully led the development of numerous companies inthe biomedical and diagnostics industries, including Beckman Instruments Inc.,which grew into a $450 million industry leader and was acquired by SmithKline.Ashley is also chairman of the board for Copernicus Therapeutics and a memberof the board of directors for Geospeza Inc. and Sound Pharmaceuticals Inc. Katz, member of the Audit Committee and the Compensation, Nominating andCorporate Governance Committee, is currently the chair of the Washington StateBoard of Health and the previous president and CEO of Children's Hospital andRegional Medical Center in Seattle. In this role he led strategic planningthat resulted in the creation and establishment of Child Health Organization,a national venture of 42 hospital organizations. He is also a trustee ofBastyr University in Seattle, a board member of the American Heart Associationand an advisory committee member of the University of Washington School ofNursing. Smith, member of the Compensation, Nominating and Corporate GovernanceCommittee, is the recipient of the 2005 Canadian Medical Association Medal ofService and has published more than 250 papers and book chapters. He wasinstrumental in the establishment of the Libin Cardiovascular Institute ofAlberta for which he currently serves as its chair of the Strategic AdvisoryBoard. Smith is a retired clinician and has been the chair of the CanadianHeart Health Strategy and Action Plan, an initiative of the Government ofCanada. Henseler, chairman of the Audit Committee and member of the Compensation,Nominating and Corporate Governance Committee, is president of ManagementServices International, providing CEO and CFO services, and was the chairmanand CEO of eGene Inc. through its acquisition. He is also currently a boardmember for Spire Corporation and Tutogen Inc. Dalla-Longa, chairman of the Compensation, Nominating and CorporateGovernance Committee and member of the Audit Committee and the sole returningdirector, is a vice president, Corporate Finance and co-founder of i3 CapitalPartners, a Canadian merchant bank focused on the energy and technologyindustries. Prior thereto Dalla-Longa was vice president, Corporate Financeat Rampart Securities and previously a corporate finance executive in thebrokerage industry and a partner with the international accounting firm, KPMG.
