Universal Health Services, Inc. Announces Expiration and Results of Its Exchange Offer For Its 7% Senior Notes Due 2018

KING OF PRUSSIA, Pa., May 13, 2011 /PRNewswire/ --  Universal Health Services, Inc. (NYSE: UHS) today announced the expiration of its offer to exchange its outstanding 7% Senior Notes due 2018 (the "outstanding notes") that were originally issued in an aggregate principal amount of $250 million in a private offering on September 29, 2010 for an equal principal amount of new notes (the "exchange notes") registered under the Securities Act of 1933, as amended (the "Securities Act"), pursuant to its effective registration statement on Form S-4 filed with the Securities and Exchange Commission (the "SEC") on April 1, 2011 (as amended to date, the "Registration Statement").  The exchange notes are substantially identical to the outstanding notes, except that the exchange notes have been registered under the Securities Act and will be freely tradable.

The exchange offer expired at 5:00 p.m., New York City time, on May 12, 2011.  As of the expiration of the exchange offer, holders of $250 million principal amount of the outstanding notes, representing 100% of the outstanding notes, had delivered valid tenders pursuant to the exchange offer.  All of the outstanding notes that were properly tendered and not withdrawn have been accepted for exchange.
