(Nasdaq: HTWR; ASX: HIN) ("HeartWare") announced today the completion of a public offering of 1,767,900 shares of its common stock at a price to the public of $35.50 per share, which amount includes 230,595 shares of common stock sold pursuant to the underwriters' exercise in full of their option to purchase additional shares of common stock to cover over-allotments. HeartWare expects to use the net proceeds of the offering for general corporate and working capital purposes.
J.P. Morgan Securities Inc. acted as the sole book-running manager of the offering, and Canaccord Adams, Lazard Capital Markets and Wedbush PacGrow Life Sciences acted as the co-managers of the offering. The offering was made pursuant to a shelf registration statement filed with the Securities and Exchange Commission (the "SEC") on December 24, 2009, and that was declared effective on January 20, 2010.
