Gentiva® Health Services Announces Senior Notes Offering

ATLANTA, Aug. 4 Gentiva Health Services, Inc. (Nasdaq: GTIV), a leading provider of home health and hospice services, today announced that it is planning a private offering of $305.0 million aggregate principal amount of Senior Notes due 2018 to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933 (the "Securities Act") and to certain non-U.S. persons in offshore transactions in accordance with Regulation S under the Securities Act. Gentiva intends to use the net proceeds from the sale of the notes to fund its previously announced acquisition of Odyssey HealthCare, Inc. The notes are expected to be guaranteed by substantially all of Gentiva's domestic wholly-owned subsidiaries, including, following the acquisition, Odyssey and its subsidiaries.

The notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration under the Securities Act or an applicable exemption from registration requirements.
