Essilor Sells its Stake in Sperian Protection

CHARENTON-LE-PONT, France, May 19, 2010 SperianProtection's Board of Directors agreed this morning to accept Honeywell'svoluntary tender offer to acquire 100% of its capital at a price of EUR117per share.

Essilor has agreed to sell all of its Sperian Protection shares toHoneywell in an off-market transaction, based on the offering price of EUR117per share, subject to certain conditions (approval from the European and USregulatory authorities, as well as the French Ministry of the Economy,Industry and Employment).
