Dental Network of America (DNoA) Acquires DenteMax, Owned by Blue Cross Blue Shield of Michigan

OAKBROOK TERRACE, Ill., July 1 Dental Network of America, LLC (DNoA) announced today the completion of its acquisition of DenteMax, an independent subsidiary of Blue Cross Blue Shield of Michigan (BCBSM), a nonprofit company providing and administering health benefits to members residing in Michigan, in addition to members of Michigan-headquartered groups who reside outside the state.

The acquisition brings two strategically focused companies -- DNoA and DenteMax - under one umbrella. DenteMax headquartered in Southfield, Michigan, owns one of the nation's largest independent dental PPO networks with more than 91,000 dentist access points, serving over 5 million members nationwide. In addition, DenteMax leases its network to nearly 200 benefit payers.

Both companies will work towards a seamless ownership transition. Blue Cross Blue Shield of Michigan's 1.3 million Blue Dental members will continue to utilize the DenteMax network. There will be no disruption to the Blue Dental member's dental network or to their dental coverage. In addition, there will be no disruption to the DenteMax providers, and they should continue to submit claims as they do today.

DNoA has been a long-time customer of DenteMax, leasing its dental network. Combined with DNoA's other strategic relationships, DNoA will continue to offer its members access to the largest dental PPO network in terms of access points. The acquisition of DenteMax by DNoA now positions the organization to offer an even stronger network to their members.

DNoA, headquartered in Oakbrook Terrace, Illinois, is known for its superior claims administration and has become a leader in providing comprehensive administrative and consultative support. DNoA provides administrative support to over 19,000 employer groups and 2.6 million dental members nationally. DNoA, a subsidiary of Health Care Service Corporation (HCSC), a Mutual Legal Reserve Company, acts as the claims and network administrator for all HCSC Blue Cross Blue Shield Plans. HCSC is the largest customer-owned health insurer in the United States and the fourth largest health insurer in the country overall, with 12.4 million members in its Blue Cross and Blue Shield plans in Illinois, New Mexico, Oklahoma and Texas.

DenteMax began operations in 1985. It was purchased by Blue Cross Blue Shield of Michigan in 2002 and operates as an independent subsidiary. The DenteMax offices will remain in its current building in Southfield, Michigan, and continue to operate under the DenteMax name.

The 84 DenteMax employees will retain employment as part of the sale. The majority will retain employment under the DNoA ownership; the balance will transfer to BCBSM.

DNoA did not disclose the purchase price.
